Abstract
The article addresses one of the critical issues in higher education institutions such as governance, which presents many challenges to which the authorities must respond, as they are responsible for the structuring and operation of the institution, since the tendency is to copy other international “models” that are not processed and end up being applied indiscriminately but do not respond to the reality and need of the subjects that are formed. This is why this research aims at ethical university governance and the adoption of imported ideas and concepts and their application in local universities. The study arises from an interpretative paradigm with a descriptive qualitative methodological approach based on documentary analysis. It concludes by making clear the relevance that ethical leadership should have in universities in all the actors involved in the process of formation and governance, which should take place in an environment of participation and openness to the necessary changes without losing one's own identity and critical thinking
